A sole proprietorship has no registration of its own — there is no registry, no certificate and no separate legal person, because the business simply is the proprietor. What people mean by registering one is obtaining the registrations that prove it exists and let it operate: GST where the threshold applies, Udyam, a trade licence, and a current account in the business name. The trade being made is cost against liability: it is the cheapest structure to start and run, and the only one where a business debt can reach your house.

    We tell you what unlimited liability actually means

    There is no separation between you and the business. A supplier's unpaid bill, a customer's claim or a bank's loan can be recovered from your personal assets without limit. For a business carrying stock on credit or borrowing, an LLP costs a little more each year and removes that exposure entirely.

    We obtain the registrations that give it an identity

    Udyam registration, GST where the threshold or the activity requires it, and a trade licence from the local municipal body. Together these are what a bank will accept as proof that the business exists.

    We open the door to a current account

    Banks will not open a current account in a business name on the proprietor's word alone. They ask for two registrations in the business name — typically Udyam plus GST or a trade licence — and getting these in the right order avoids a second visit.

    We set up books that keep personal and business separate

    Because there is no legal separation, the bookkeeping is the only separation that exists. Drawings recorded as drawings and not as expenses, and a bank account used only for the business, are what make the return defensible.

    We set the annual cycle up

    The business income is declared in the proprietor's own return at individual slab rates, with presumptive taxation under section 44AD available below the turnover limit. Advance tax is the proprietor's own obligation, quarterly.

कितना समय लगता है

Three to seven working days for Udyam and the tax registrations. A trade licence from the municipal body takes longer — fifteen to thirty days in most corporations — and GST registration three to seven working days where Aadhaar authentication is completed.

Trading without the registrations works until something requires one — a customer needing a GST invoice, a bank needing proof of business, a municipal inspection. At that point the registrations are obtained anyway, but GST becomes payable on the whole unregistered period with no input credit, and the trade licence is charged for the period already traded.

  • Assuming a GST registration or Udyam certificate creates a separate legal entity — neither does
  • Treating drawings as a business expense, which is not deductible and is the first thing a query asks about
  • Running personal and business money through one account, which makes the books impossible to defend
  • Carrying significant trade credit personally where an LLP would have limited the exposure
  • Selling on a marketplace without GST registration, which is required from the first sale

An OPC is a registered company with limited liability and annual MCA filings. A proprietorship has neither, and the difference in liability is the whole reason to choose one over the other.

Udyam registration

Udyam classifies an existing enterprise as micro, small or medium. It does not create the business and is not a registration of the proprietorship itself.
