Event-based filings are the forms a company files when something changes rather than on a calendar — a director appointed or resigned, the registered office moved, share capital allotted, a charge created over assets. Almost all of them carry a thirty-day window from the event, and the additional fee for filing late is the same ₹100 a day, uncapped. The one with a real commercial consequence is the charge filing: a security not registered within thirty days is a security the lender may be unable to enforce in priority.

    We identify the form and the window

    DIR-12 for director changes, INC-22 for the registered office, PAS-3 for share allotment, CHG-1 for a charge, MGT-14 for resolutions that require filing. Each has its own window, most of them thirty days, and each accrues its own daily fee.

    We prepare the board or shareholder resolution behind it

    Every filing is evidence of a decision that has to have actually been taken and minuted. A form filed without the resolution it reports is a problem waiting for the first person who asks to see the minute book.

    We file charges within thirty days without exception

    A charge registered late may be registered with additional fee up to 120 days, and after that only with Central Government approval. An unregistered charge is not void against the company, but its priority against other creditors is what the lender loses — which is why lenders chase this filing themselves.

    We handle registered office changes end to end

    Within the same city is a board resolution and INC-22. To another state it requires a special resolution, an application to the Regional Director, and a transfer of the company's file between ROC offices — a project rather than a form.

    We keep the statutory registers aligned

    The registers of members, directors and charges have to match what has been filed. A mismatch between the register and the MCA record is exactly what surfaces in due diligence.

कितना समय लगता है

Two to five working days per filing once the resolution is passed and the documents are signed. An inter-state registered office change runs to two to three months because of the Regional Director's approval.

The MCA record diverges from reality, and it is the MCA record that a bank, an acquirer or a court works from. A resigned director stays liable on paper; an unfiled allotment leaves the shareholding unprovable; an unregistered charge leaves a lender behind other creditors. Each of these surfaces at the worst possible moment, which is the moment somebody needs the record to be right.

जो अक्सर ग़लत होता है

  • Treating a director's resignation as effective on the letter without filing DIR-12, so the record still shows them in office
  • Allotting shares and filing PAS-3 late, which leaves the cap table on the register wrong
  • Missing the thirty-day charge window, which costs the lender priority rather than the borrower a fee
  • Moving the registered office without INC-22, so statutory notices are served at an address nobody reads
  • Filing the form without passing or minuting the resolution behind it
